General Terms and Conditions for Testing at
KIYO R&D Center and Laboratory

These General Terms and Conditions ("Terms") govern the testing services provided by KIYO R&D Center and Laboratory ("KIYO," "we," or "us") to our clients ("Client" or "you"). By engaging in testing services with KIYO, you agree to be bound by these Terms. It is important that you carefully read and understand these Terms before proceeding with any testing services.

  • Scope of Services

    KIYO provides testing services as outlined in the agreed-upon scope of work or quotation. The specific tests, methods, and standards to be applied will be documented and agreed upon by both parties before testing commences.

  • Sample Submission

    Clients are responsible for providing representative samples for testing. Samples should be properly labeled, securely packaged, and delivered to KIYO in accordance with our instructions. Clients are responsible for any costs associated with sample shipping and handling.

  • Payment Terms

    Clients are responsible for the payment of all testing services provided by KIYO. Payment terms, including invoicing and payment methods, will be agreed upon between the Client and KIYO. Unless otherwise specified, all fees and charges are exclusive of applicable taxes, which will be added to the invoice as required by law.

  • Confidentiality

    KIYO maintains strict confidentiality and non-disclosure of all information shared by the Client during the course of testing. Any confidential information provided by the Client will be handled with the utmost care and will only be accessible to authorized personnel involved in the testing process.

  • Reporting and Results

    KIYO will provide a detailed testing report to the Client, outlining the test methods, procedures, results, and any relevant observations or interpretations. The report will be prepared based on the information available at the time of testing. The Client acknowledges that test results may be influenced by various factors and that KIYO assumes no liability for the interpretation or use of the results.

  • Limitation of Liability

    KIYO shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the testing services provided. The liability of KIYO, if any, shall be limited to the amount paid by the Client for the specific testing services rendered.

  • Intellectual Property

    All intellectual property rights arising from or related to the testing services provided by KIYO shall remain the property of KIYO. The Client shall not reproduce, modify, or distribute any testing reports, data, or results without the prior written consent of KIYO.

  • Force Majeure

    KIYO shall not be liable for any delay, failure, or interruption in the provision of testing services due to events beyond its reasonable control, including but not limited to natural disasters, acts of terrorism, labor disputes, or governmental regulations.

  • Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where KIYO is located. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

  • Termination of Access

    KIYO R&D Center and Laboratory reserves the right to terminate or restrict User access to the testing facilities at any time, without prior notice, if there is a violation of these Terms or if the User's activities pose a risk to safety, equipment, or the integrity of the testing process.

  • Data and Results

    Users retain ownership of their data and results generated through the testing activities. However, KIYO R&D Center and Laboratory may request access to the data for quality control, record-keeping, or research purposes, while maintaining the confidentiality of proprietary information.

  • Amendments

    KIYO reserves the right to modify or amend these Terms at any time. Any changes will be effective upon posting the updated Terms on our website. It is the Client's responsibility to review the Terms periodically for any updates or changes.
